Terms of Service

⚠️ Important: Please read these Terms of Service carefully before using ZIPFI. By accessing or using our platform, you agree to be bound by these terms.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legal agreement between you ("User," "you," or "your") and ZIPFI ("we," "us," or "our"). By accessing or using the ZIPFI platform, you agree to comply with and be bound by these Terms.

If you do not agree to these Terms, you must not access or use our services.

2. Description of Services

ZIPFI provides a financial infrastructure platform that enables:

  • Virtual card issuance and management
  • Real-time payment authorization
  • Multi-currency support and conversion
  • Transaction processing and reconciliation
  • Compliance and KYC/AML services
  • Analytics and reporting tools
  • API access for integration

3. Eligibility

To use ZIPFI, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using financial services under applicable laws
  • Provide accurate and complete registration information
  • Pass our identity verification and KYC/AML checks
  • Operate a legitimate business (for business accounts)

4. Account Registration and Security

4.1 Account Creation

To access ZIPFI services, you must create an account by providing:

  • Valid email address
  • Legal name and date of birth
  • Business information (if applicable)
  • Government-issued identification
  • Bank account information

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Using strong passwords and enabling two-factor authentication

4.3 Account Verification

We reserve the right to verify your identity and may request additional documentation at any time. You agree to provide such information promptly. Failure to do so may result in account suspension.

5. Acceptable Use Policy

5.1 Permitted Uses

You may use ZIPFI for legitimate business purposes, including:

  • Processing payments for goods and services
  • Managing corporate expenses
  • Facilitating employee spending
  • Cross-border transactions
  • Treasury management

5.2 Prohibited Activities

You must NOT use ZIPFI for:

  • Illegal activities or transactions
  • Money laundering or terrorist financing
  • Fraud, scams, or deceptive practices
  • Purchasing illegal goods or services
  • Gambling (where prohibited by law)
  • Adult content or services
  • Cryptocurrency purchases (unless explicitly authorized)
  • Violating sanctions or embargoes
  • High-risk merchant categories (as defined by card networks)
  • Activities that violate third-party rights

6. Fees and Charges

6.1 Service Fees

ZIPFI charges fees for various services, including:

  • Monthly card fees: $1.99 per active card
  • Transaction fees: As disclosed in your pricing agreement
  • Foreign exchange markup: 2% on currency conversions
  • ATM withdrawal fees: $2.50 per withdrawal
  • API usage fees: Based on volume (if applicable)

6.2 Fee Changes

We reserve the right to modify our fees with 30 days' notice. Continued use of our services after fee changes constitutes acceptance of the new fees.

6.3 Payment

All fees are automatically deducted from your ZIPFI account balance. You must maintain sufficient funds to cover applicable fees.

7. Virtual Cards

7.1 Card Issuance

Virtual cards are issued by our banking partner through Stripe Issuing. Cards are subject to spending limits, merchant restrictions, and other controls you configure.

7.2 Card Usage

  • Cards are for business use only (for business accounts)
  • You are responsible for all transactions made with your cards
  • Report lost or compromised cards immediately
  • Comply with card network rules (Visa, Mastercard)

7.3 Card Disputes

Disputed transactions must be reported within 60 days. We will investigate disputes in accordance with card network rules. Fraudulent disputes may result in account termination.

8. Compliance and KYC/AML

8.1 Identity Verification

We are required by law to verify your identity (Know Your Customer - KYC). You agree to provide accurate information and documentation for verification purposes.

8.2 Anti-Money Laundering (AML)

We monitor transactions for suspicious activity and comply with AML regulations. We may freeze or terminate accounts involved in suspected money laundering or terrorist financing.

8.3 Reporting

We are required to report certain transactions to regulatory authorities, including Suspicious Activity Reports (SARs) and Currency Transaction Reports (CTRs).

9. Data and Privacy

Your use of ZIPFI is subject to our Privacy Policy, which explains how we collect, use, and protect your information. By using our services, you consent to our data practices as described in the Privacy Policy.

10. Intellectual Property

10.1 Our IP

All content, trademarks, logos, and intellectual property on the ZIPFI platform are owned by us or our licensors. You may not copy, modify, or distribute our IP without permission.

10.2 Your IP

You retain ownership of any content or data you provide to ZIPFI. By using our services, you grant us a license to use your data as necessary to provide our services.

11. Third-Party Services

ZIPFI integrates with third-party services including:

  • Stripe: Payment processing and card issuance
  • Banking Partners: Treasury and banking services
  • Card Networks: Visa, Mastercard

Use of these services is subject to their respective terms and conditions. We are not responsible for the actions or omissions of third-party service providers.

12. Disclaimers and Limitations of Liability

12.1 Service Availability

While we strive for 99.9% uptime, we do not guarantee uninterrupted service. ZIPFI is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.

12.2 Limitation of Liability

To the maximum extent permitted by law, ZIPFI shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Service interruptions or data loss
  • Third-party actions or failures
  • Unauthorized access to your account due to your negligence

Our total liability for any claim shall not exceed the fees paid by you in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold ZIPFI harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your use of our services
  • Your violation of any laws or third-party rights
  • Fraudulent or unauthorized transactions

14. Termination

14.1 By You

You may terminate your account at any time by contacting us. You remain liable for all outstanding fees and obligations.

14.2 By Us

We may suspend or terminate your account if:

  • You violate these Terms
  • You engage in prohibited activities
  • We are required to do so by law or regulation
  • We detect suspicious or fraudulent activity
  • You fail to pass KYC/AML verification
  • Your account remains inactive for an extended period

14.3 Effect of Termination

Upon termination:

  • Your access to ZIPFI will be revoked
  • All cards will be deactivated
  • Outstanding balances must be settled
  • We may retain data as required by law

15. Dispute Resolution

15.1 Informal Resolution

If you have a dispute, please contact us first at disputes@zipfi.app. We will attempt to resolve disputes informally.

15.2 Arbitration

Any disputes that cannot be resolved informally shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association (AAA).

15.3 Class Action Waiver

You agree that disputes must be brought on an individual basis only, and not as part of a class action, collective action, or representative proceeding.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any legal action must be brought in the federal or state courts located in Delaware.

17. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the platform. Continued use after changes constitutes acceptance of the modified Terms.

18. General Provisions

18.1 Entire Agreement

These Terms constitute the entire agreement between you and ZIPFI regarding use of our services.

18.2 Severability

If any provision of these Terms is found invalid, the remaining provisions remain in full effect.

18.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

18.4 Assignment

You may not assign or transfer these Terms without our consent. We may assign our rights and obligations without restriction.
